Terms of Service

1. The service

Nouvarta is a contract-intelligence service: you upload contract documents to your workspace and the service detects key dates, tracks renewal and notice obligations, extracts terms (such as pricing mechanics, termination rights and service levels) on demand, and lets you draft simple documents and send them for electronic signature. These Terms govern your access to and use of the service at nouvarta.com and its subpaths (the "Service").

2. Not legal advice

Nouvarta is not a law firm and the Service is not legal advice. The Service surfaces what your documents say; it does not tell you what to do. Extracted dates, terms and summaries are generated in part by automated (AI) systems and may be incomplete or wrong. You are responsible for verifying anything you rely on against the source document and for obtaining professional advice where it matters. Documents created with the drafting feature are templates you author and adopt as your own; Packtly is not a party to, and does not review, any agreement you create, send or sign.

3. Accounts and workspaces

You must provide accurate information when creating an account and keep your credentials secure. A workspace (tenant) is controlled by its Owner, who may invite members with defined roles, including a designated signer. You are responsible for the activity of users you invite. You must be authorized to act for the business on whose behalf you use the Service.

4. Your content

You retain all rights to the documents and data you upload ("Customer Content"). You grant Packtly a limited license to host, process and display Customer Content solely to provide the Service — including automated analysis of your documents to detect dates and extract terms you request. We do not sell Customer Content and we do not use it to train models for other customers. You represent that you have the right to upload the documents you submit.

5. Plans, credits and billing

Free features (including renewal-date detection) are provided subject to plan quotas. Paid capability is sold as subscription packages and consumable credits; AI actions consume credits, and working a contract counts against your plan's contract quota. Payments are processed by Stripe; by purchasing you authorize the applicable recurring or one-time charges. Prices and plan contents may change with notice; changes apply from your next billing cycle. Except where required by law, fees are non-refundable, and unused credits expire with the account or as stated at purchase.

6. Electronic signatures

The signing feature transmits documents to recipients you designate and records their assent. You are responsible for the lawfulness and content of documents you send for signature and for confirming that electronic signature is appropriate for your use case and jurisdiction.

7. Acceptable use

You may not misuse the Service: no unlawful content, no uploading documents you have no right to process, no attempts to breach tenant isolation or probe other customers' data, no reselling the Service, no automated scraping outside any documented API, and no use of AI features to generate unlawful or deceptive documents.

8. Availability and support

We aim for high availability but the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Scheduled maintenance and outages may occur. Alert features (including renewal warnings by email or push) are conveniences, not guarantees — do not rely on them as your only safeguard for a deadline.

9. Limitation of liability

To the maximum extent permitted by law, Packtly will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, savings or data — including losses arising from a missed renewal, notice window or deadline, or from reliance on extracted terms. Packtly's total liability for any claim arising out of the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.

10. Termination

You may cancel at any time; cancellation stops future charges and the workspace downgrades or closes at the end of the paid period. We may suspend or terminate accounts that violate these Terms. Upon closure you may export your documents for a reasonable period, after which we may delete Customer Content.

11. Changes to these Terms

We may update these Terms; material changes will be announced in the Service or by email. Continued use after the effective date of a change constitutes acceptance.

12. Governing law and contact
